These Terms and Conditions govern participation in all online vendor directories operated by Studio 22 Events LLC, including but not limited to the Awaken NY Online Vendor Directory and the Vintage in the Hudson Valley Online Vendor Directory. By submitting an application, uploading content, purchasing a directory listing, or otherwise participating in any directory-related service, you acknowledge that you have read, understood, and agreed to be bound by these Terms and Conditions in their entirety.

 

Studio 22 Events LLC shall not be liable for any alleged defamation, libel, slander, disparagement, reputational harm, loss of goodwill, or similar claim arising from vendor-submitted content, the publication or removal of such content, or the operation of the directories. Vendors expressly waive any claims against Studio 22 Events LLC relating to reputational impact, perceived endorsement, omission, removal, categorization, or placement of listings.

 

Studio 22 Events LLC shall not be liable to any third party for decisions, transactions, injuries, losses, disputes, or damages arising from reliance on directory content or interactions with listed vendors. Vendors agree that Studio 22 Events LLC is not responsible for vetting or qualifying vendors for public use.

 

Studio 22 Events LLC shall not be liable for failure or delay in performance due to causes beyond its reasonable control, including but not limited to technical failures, hosting issues, platform changes, acts of God, governmental actions, or operational restructuring.

 

The failure of Studio 22 Events LLC to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

 

Directory listings may include vendors offering spiritual, holistic, intuitive, wellness, or alternative services. Studio 22 Events LLC does not provide medical, therapeutic, psychological, legal, or financial advice and does not evaluate or validate any such services. Directory content is not intended as a substitute for professional advice, diagnosis, or treatment. Visitors assume all risk when engaging with listed vendors.

 

Vendors acknowledge that directory listings may be formatted, truncated, styled, categorized, or displayed in accordance with platform design, technical limitations, or administrative processes. Studio 22 Events LLC is not responsible for typographical errors, formatting discrepancies, omissions, or technical issues arising from content submission, data entry, platform updates, or CMS limitations.

 

Vendors are solely responsible for selecting the directory for which they apply and purchase a listing. Studio 22 Events LLC bears no responsibility for incorrect selections made by vendors and is under no obligation to transfer, duplicate, or modify listings between directories.

 

Directory listings are non-transferable and may not be assigned, sold, sublicensed, or conveyed to another party without the express written consent of Studio 22 Events LLC.

 

Studio 22 Events LLC has no duty to monitor, screen, investigate, correct, or police directory content and shall not be deemed negligent for failing to do so. The voluntary removal or modification of content does not create a continuing obligation to monitor or review other content.

 

Studio 22 Events LLC operates the directories solely as publishing platforms for information submitted directly by independent vendors. Studio 22 Events LLC does not create, author, substantively edit, verify, investigate, endorse, certify, validate, or guarantee any information, representations, claims, services, products, credentials, qualifications, or outcomes described by vendors. All directory content is provided by vendors and is published publicly as submitted.

 

Participation in an online directory is separate from and independent of any physical event, market, expo, or festival. Directory participation does not guarantee acceptance into, placement at, or preference for any in-person event now or in the future, and does not create any obligation, expectation, or commitment on the part of Studio 22 Events LLC to offer event participation, opportunities, or benefits of any kind.

 

Submission of a directory application does not guarantee publication. Studio 22 Events LLC reserves the absolute and sole discretion to accept, decline, delay, format, request revisions to, suspend, or remove any directory listing at any time, with or without notice, for any reason, including but not limited to legal, reputational, operational, community standards, or business considerations. All decisions regarding directory inclusion or removal are final.

 

Studio 22 Events LLC expressly disclaims any endorsement, verification, approval, warranty, or assurance regarding vendor credentials, licensure, training, certifications, professional experience, medical, therapeutic, spiritual, intuitive, legal, financial, or business claims, representations, or outcomes. Vendors remain solely responsible for the accuracy, truthfulness, legality, and completeness of all content they submit. Studio 22 Events LLC does not independently verify vendor information and assumes no duty or obligation to investigate, monitor, screen, or supervise vendor submissions or activity.

 

The directories and all related services are provided on an “as-is” and “as-available” basis. Studio 22 Events LLC makes no representations or warranties, express or implied, regarding the accuracy, completeness, reliability, availability, functionality, continuity, or performance of the directories, nor regarding visibility, placement, search ranking, traffic, engagement, leads, sales, revenue, or business results. Any reliance by visitors, users, or third parties on directory content is undertaken solely at their own discretion and risk.

Vendors acknowledge and agree that they are solely responsible for all content submitted, including descriptions, statements, claims, credentials, images, logos, videos, links, and other media. Vendors represent and warrant that all submitted content is owned by them or used with lawful authorization, and that such content does not infringe upon the intellectual property, privacy, publicity, or other rights of any third party. Studio 22 Events LLC assumes no liability for copyright, trademark, or intellectual property disputes arising from vendor submissions. If Studio 22 Events LLC receives a copyright, trademark, or intellectual property complaint or notice regarding directory content, such content may be removed or disabled without notice and without liability, regardless of the ultimate validity of the claim.

 

Studio 22 Events LLC has no obligation to correct, update, or revise directory content, even if notified of alleged inaccuracies, omissions, or disputes, and any decision to do so is made solely at its discretion.

 

Vendors acknowledge that no directory listing constitutes a vested right or entitlement to continued publication, and that removal or modification of a listing does not constitute breach of contract, loss of bargain, or actionable harm.

 

No vendor, visitor, or third party may rely on any directory listing, categorization, description, or representation as factual, complete, or suitable for any purpose. All users expressly waive any claim based on reliance upon directory content, including claims of negligent misrepresentation or omission.

 

Vendors control which information is designated for public display within their directory profile. Studio 22 Events LLC publishes only the information vendors explicitly choose to make public and is not responsible for how third parties use, misuse, or rely upon publicly displayed information. Studio 22 Events LLC is not liable for unsolicited contact, transactions, disputes, losses, or communications between vendors and members of the public. Administrative contact information provided for internal or operational purposes will not be displayed publicly unless expressly designated as public by the vendor.

 

Directory listings may not include content that is false, misleading, deceptive, defamatory, harassing, discriminatory, unlawful, or otherwise harmful to the reputation, integrity, or trust associated with the directories or Studio 22 Events LLC. Studio 22 Events LLC reserves the right, but not the obligation, to remove, modify, suspend, or disable access to any content it determines, in its sole judgment, poses legal, reputational, operational, or community risk. Such actions do not constitute an admission of liability, wrongdoing, or fault.

 

Directory listings are offered as annual listings, which are active for twelve months from the date of publication and do not auto-renew, or lifetime listings, which remain active indefinitely unless removed due to violation of these Terms, platform changes, or discontinuation of the directory service. Studio 22 Events LLC reserves the right to modify, restructure, suspend, or permanently discontinue the directories, in whole or in part, at any time without liability. In such cases, reasonable efforts may be made to notify vendors, but no refunds or compensation are guaranteed.

 

Studio 22 Events LLC may modify directory structure, layout, features, categories, search functionality, or presentation at any time, and vendors acknowledge that such changes do not entitle them to refunds, credits, or claims of diminished value.

 

All directory listing fees are non-refundable once a listing has been published. Refunds will not be issued for dissatisfaction with visibility, performance, business outcomes, changes in personal or business circumstances, platform changes, or removal due to violation of these Terms.

 

Participation in the directory does not create any professional, medical, therapeutic, legal, advisory, fiduciary, partnership, employment, or agency relationship between Studio 22 Events LLC and any vendor or directory user. Visitors are solely responsible for evaluating services, products, and providers, and for seeking appropriate professional advice where necessary.

 

To the fullest extent permitted by law, Studio 22 Events LLC shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, business opportunities, data, goodwill, or reputation, arising out of or related to directory participation, platform availability, or reliance on vendor-submitted content.

 

Vendors agree to indemnify, defend, and hold harmless Studio 22 Events LLC, its owners, officers, employees, contractors, and affiliates from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising from vendor content, vendor services or products, misrepresentations, legal violations, intellectual property disputes, or interactions with third parties.

 

By submitting an application or purchasing a directory listing, vendors represent that they are at least eighteen years of age and have the legal authority to submit information on behalf of themselves or the listed business or organization. Vendors further agree that submissions, checkboxes, electronic signatures, and purchases made through the website constitute legally binding consent, and that Studio 22 Events LLC may rely on electronic records, timestamps, IP addresses, and submission logs as evidence of agreement.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. All provisions relating to limitation of liability, indemnification, intellectual property, no endorsement, no reliance, governing law, and venue shall survive the expiration or termination of any directory listing.

 

Studio 22 Events LLC reserves the right to modify these Terms at any time, and continued participation in any directory after such modifications constitutes acceptance of the revised Terms. Any dispute, claim, or controversy arising out of or relating to these Terms or directory participation shall be resolved exclusively through binding arbitration conducted in the State of New York, on an individual basis only.

Vendor knowingly and voluntarily waives the right to a trial by judge or jury and agrees that no arbitration shall be joined, consolidated, or conducted on a class, collective, representative, or group basis.

 

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflict-of-law principles.

The directories are not intended for use in emergencies or crisis situations. Studio 22 Events LLC does not provide emergency services, medical care, mental health treatment, or crisis intervention. Individuals experiencing emergencies, medical issues, mental health crises, or safety concerns should seek immediate assistance from qualified professionals or emergency services.

 

Vendors acknowledge that Studio 22 Events LLC has not made, and does not make, any oral statements, guarantees, promises, or representations outside of these Terms. No communications, emails, messages, marketing materials, or informal statements shall modify or override these Terms unless expressly stated in a written amendment signed by an authorized representative of Studio 22 Events LLC.

 

Studio 22 Events LLC reserves the right to immediately remove or suspend any vendor listing, without notice and without refund, if a vendor engages in abusive, harassing, threatening, defamatory, or bad-faith conduct toward Studio 22 Events LLC, its representatives, staff, contractors, or affiliates, or engages in conduct that poses legal, reputational, or operational risk to the directories.

 

Studio 22 Events LLC does not knowingly target directory content to minors. Vendors are solely responsible for determining whether their services, products, or content are appropriate for minors and for complying with all applicable laws regarding services provided to children. Parents and legal guardians are solely responsible for supervising and monitoring any minor’s access to or use of the directories.

 

Directory listings may include links to external websites, social media platforms, booking tools, or third-party services operated by vendors or other parties. Studio 22 Events LLC does not control, endorse, monitor, or assume responsibility for the content, security, policies, availability, or practices of any third-party website or service. Accessing external links is done entirely at the user’s own risk.

 

By submitting a directory application and/or purchasing a directory listing, you affirm that all information provided is accurate to the best of your knowledge, that you understand such information will be published publicly as submitted, that Studio 22 Events LLC does not verify or endorse vendor claims, and that you agree to be bound by these Terms and Conditions in full.

 

These Terms constitute the entire agreement between the parties regarding directory participation and supersede all prior or contemporaneous communications, representations, understandings, or agreements, whether oral or written.

 

Studio 22 Events LLC makes no representation or guarantee that any directory listing will be viewed, discovered, accessed, or contacted by members of the public. Search results, filtering tools, directory navigation, visibility, and user engagement may vary and may change at any time due to platform updates, user behavior, or technical factors.

 

Studio 22 Events LLC does not rank, rate, review, evaluate, compare, or otherwise assess vendors listed in the directories. Any order, placement, categorization, visibility, or presentation of listings is for organizational or administrative purposes only and does not reflect quality, preference, endorsement, approval, or recommendation of any vendor or service.

 

Any ambiguity in these Terms shall be interpreted in a manner consistent with their intended purpose and in favor of Studio 22 Events LLC as the operator of the directories.
